Steven Swibel concentrates his practice in the areas of partnership, limited liability company and corporate tax planning, real estate tax planning, business transactions, joint ventures, and mergers and acquisitions. Mr. Swibel serves as general counsel to businesses where he provides integrated business, income tax and estate planning advice for closely-held enterprises and their owners and serves as special counsel to publicly traded corporations and privately owned entities with respect to tax matters.

Representative recent transactions include: structuring limited liability companies, joint ventures and partnerships having complex ownership, allocation and distribution provision; structuring and documenting tax-deferred exchange transactions; corporate recapitalizations; providing tax advice regarding business acquisitions and dispositions; tax and business planning for outbound and inbound international business ventures and investments; drafting complex distributorship and supply agreements; planning and implementing estate and gift tax and personal wealth strategies, including the preparation of wills, trusts and family partnership agreements; representation of taxpayers in connection with income and estate tax audits; and advising tax-exempt organizations and securing recognition of tax-exempt status. Mr. Swibel has provided general legal representation of one of the Chicago area’s largest closely held companies from start up to more than $300 million in annual sales.

Mr. Swibel taught as an adjunct professor at IIT Chicago-Kent College or Law in the LL.M Tax Program for more than 10 years and is a member of the Chicago-Kent Federal Tax Institute Planning Committee. He is a past Chairman of the Chicago Bar Association’s Federal Taxation Committee, and is also a member of the Partnership and LLC Committee of the American Bar Association Section of Taxation. Mr. Swibel has presented to programs sponsored by the American and Chicago Bar Associations, Tax Executives Institute, Tulane Tax Institute, Kentucky Tax Institute, Texas Tax Institute and other organizations.  Presentation topics include: “Limited Liability Companies – Tax Perspectives on Unresolved Issues and Usage,” “Pass-Thru Entity Exit Strategies: Termination Tricks and Traps” and “Tax Aspects of International Business.”  His work includes authorship of chapters in Illinois Institute of Continuing Legal Education and an article for Franchise Legal Digest. Mr. Swibel also serves as a director of Kids in Danger, a child and infant safety organization.
